The Board of Directors of Padini Holdings Berhad (“Padini” or “the Company”) wishes to announce that the Company proposes to seek shareholders’ approval on the following proposals at the forthcoming Annual General Meeting to be convened:

1. Proposed Renewal of Shareholders’ Mandate for Recurrent Related Party Transactions; and
2. Proposed Renewal of Shareholders’ Mandate for Provision of Financial Assistance within the Group
(collectively referred hereto as the “Proposed Shareholders’ Mandates”)

The Proposed Shareholders’ Mandates will be tabled to the shareholders at the forthcoming Annual General Meeting of the Company.

A circular containing the information on the above will be despatched to the shareholders in due course.
