Proposed acquisition from Texchem Corporation Sdn Bhd of the following:

(i) 51% equity interest in Eye Graphic Sdn Bhd for a total cash consideration of RM3.274 million by TRB ("Proposed Acquisition of EGSB");

(ii) 51% equity interest in Sanko Kasei (M) Sdn Bhd for a total cash consideration of RM7.214 million by TRB ("Proposed Acquisition of SKSB"); and

(iii) 100% equity interest in Texchem Malaysia Sdn Berhad ("TMSB") by Texchem Materials Sdn Bhd, a wholly-owned subsidiary of TRB ("Proposed Acquisition of TMSB").

Further to the announcements made on 11 October 2004, 26 November 2004 and 13 December 2004 in respect of the Proposed Acquisitions, the Board of Directors of TRB is pleased to announce that the Company has today, received the approval of the Ministry of International Trade and Industry vide its letters dated 20 December 2004 and 24 December 2004 for the Proposed Acquisition of TMSB and Proposed Acquisition of SKSB respectively.

This announcement is dated 28 December 2004.
