As stated in the Notice of Voluntary Offer (“Notice”) served by Bolton on 18 July 2005, the Proposed Offer is conditional upon, amongst others, approval being obtained from the shareholders of Bolton at an Extraordinary General Meeting (“EGM”).
Bolton has today informed us that the resolution pertaining to the Proposed Offer tabled at Bolton’s EGM held today, was not approved by the shareholders of Bolton and that Commerce International Merchant Bankers will be writing to the Securities Commission (“SC”), on behalf of Bolton, to seek the SC’s approval for Bolton to withdraw the Proposed Offer under the Malaysian Code on Take-Overs and Mergers, 1998.
